Background

The original council was established August 17th, 2021 with a 2 year term. This means that as of August 17th, 2023, the council will be out of compliance with the bylaws unless we schedule a new election by August 17th, 2023.

Following our discussion of the draft proposal [SCP-11] Confirm 2023 Council Election Process in the July 2023 council meeting and the Election & Rebranding Sequencing agenda item from the special council meeting on August 7th, 2023, there is rough consensus on how we would like the elections to happen, and a clear sense of how we can work towards executing against that vision. Following this discussion, [SCP-14] Schedule the 2023 Council Election was passed, scheduling the election for October 12th. September saw some increased discussion among the council on rebrand strategy, as well as layoffs within SuperRare Labs, both of which have made it infeasible to maintain this schedule.

At the September council meeting, SRL and the DAO Ops Stewards put forth an agenda item proposing a comprehensive governance roadmap which starts with a unified RFC outlining the various reforms required for the DAO to enter this new stage of growth, and culminating in the council election in January 2024. This plan is expected to develop further throughout October and early November as we present an RFC and eventual proposal to the community outlining an updated vision for the DAO and structural reforms necessary to support that vision and facilitate the election.

In any case, the nomination phase of the election would begin on January 16th, 2024 and the final election would start on January 23rd, 2024. As such, this proposal seeks to override [SCP-14] Schedule the 2023 Council Election and establish a new schedule for the election which fits into the larger plan described above.

Resolution

• This proposal overrides [SCP-14] Schedule the 2023 Council Election, effectively nullifying its resolution.
• Instead, the Council hereby commits to holding an election to determine the 5 new members who will be joining the council in January 2024. The nomination phase shall begin on January 16th, with the final election starting on January 23rd. The transfer of power shall occur no later than February 17th, 2024 - six months after the original end date for council terms.
• Any further delays that push the election past February 17th, 2024 will require an update to the bylaws, overriding [SCP - 12] Amend By Laws to Prepare for Elections

A simple majority of council members (4) is required for passage of this proposal.

• By-laws section 15, *Council Terms: “*Each individual Council member’s term shall last no more than two (2) calendar years (“Term”), or until such time as a successor Council member is appointed in accordance with this section. Prior to the expiration of a Council Member's Term, the Council must schedule a public Community election for replacement Council member(s), with such election to be completed within six (6) months following the expiration of the respective Council members’ Term. New Council Members shall be appointed as soon as practicable following the conclusion of the public Community election, with appointments to take effect when the new Councils members are authenticated as on-chain administrators of the DAO Multi-Sig. There is no limit on the number of Terms an individual Council member may serve. The procedure and method for the public Council election or appointment of additional Council members to newly created Council seats shall be decided by majority Council decision for each election, unless otherwise provided for by a Community-approved SIP. By unanimous decision, the remaining Council may appoint a new Council member to a vacant Council seat by reason of the former Council member resigning or being removed from the Council.”
  • Note that [SCP - 12] Amend By Laws to Prepare for Elections modified this section, and we are still developing the process for publication of updates to the bylaws and maintaining version control, so this may not match what is shown on the forum or other public venues.
