Background & Summary

The original council was established August 17th, 2021 with a 2 year term. In [SCP - 12] Amend By Laws to Prepare for Elections, [SCP-14] Schedule the 2023 Council Election, and [SCP-17] Reschedule the Council Election to January 2024, the council authorized a temporary extension of their term and scheduled the election for January 16th, 2024. This proposal seeks to outline the election process and grant the DAO Ops stewards and Foundation Director the authority to effectuate it in collaboration with the council.

The process described in this proposal is heavily inspired by that used at ENS. Note that because of Fanny and Charles’ late appointment, their terms are not ending and they have chosen to stay on the council in order to assist with onboarding of the next cohort. All other current council members are welcome and encouraged to run for an additional term.

Proposed Resolution

  1. The RareDAO Council delegates its power and obligation to conduct an election by the end of their term, as described in Section 15: “Council Member Term” of the RareDAO Foundation bylaws, to the DAO Ops Stewards and RareDAO Foundation Director.
  2. The timeline for the election shall be as follows, though the DAO Ops Stewards have the authority to recommend changes to the council as described in #2:
    1. January 9, deadline to post election announcement and instructions (the goal here is to leave the door open for us to delay releasing full election details until after the outcome of the vote on council compensation, building in some flexibility on the front end).
    2. January 16, nomination phase begins.
    3. January 23, election phase begins (note that changing this date would require an internal council proposal, per [SCP-14] Schedule the 2023 Council Election)
    4. January 30, confirmation phase begins.
    5. February 15, deadline for the confirmation, kyc, and transfer of power to the new council.
  3. The DAO Ops Stewards shall provide written notice to the council of any changes to the election timeline or materials provided in this document. Council members may modify or object to the recommendation, after which point the DAO Ops Stewards and Foundation Director shall be authorized to initiate and effectuate the election process.
  4. The RareDAO Foundation Director shall be authorized to update the bylaws, recognizing the term for the new council being shortened from 2 years down to 1. If other changes are deemed necessary, they should be shared with the council who shall have the opportunity to object, though an additional vote should not be required so long as the additional updates are materially consistent with this proposal.

Relevant Authority

  1. Section 4 of the Community Approved By-Laws: “… The Council may establish, delegate authorities and responsibilities to, govern, and appoint Community members into positions on committees, working groups, smart contracts, sub-DAOS, sub-Councils, or other roles or bodies as approved by a supermajority of the Council. Council members may delegate their individual or collective authority to other Community members, upon a majority decision approval by other Council members. In the absence of any controlling authority, Council members must agree by a supermajority decision to conduct activities on behalf of the DAO or Foundation, subject to the Director(s) fiduciary obligations to the Foundation. By unanimous decision, the Council may expand the number of Council seats and perform all necessary and ancillary technical changes to the DAO Multi-Sig to effectuate the changes to the Council composition.”
  2. Section 15 of the Community Approved By-Laws: “Each individual Council member’s term shall last no more than two (2) calendar years (“Term”). The Council must schedule and effectuate a public Community election for replacement Council members to be completed before the expiration of any given Council members’ two year Term. There is no limit on the number of Terms an individual Council member may serve. The procedure and method for the public Council election or appointment of additional Council members to newly created Council seats shall be decided by majority Council decision for each election, unless otherwise provided for by a Community-approved SIP. By unanimous decision, the remaining Council may appoint a new Council member to a vacant Council seat by reason of the former Council member resigning or being removed from the Council.”

Specification

Proposed Council Composition and Term Length

The new DAO Council shall consist of 7 members. Charles Crain and Fanny Lakoubay will not run for re-election and will be responsible for coordinating with the DAO Ops Stewards and Foundation Director to onboard the new cohort. This does not require extra approval as they were recently appointed and their terms are not up. All members of the new council, including Charles Crain and Fanny Lakoubay, shall serve for a 12 month term which starts as soon as the transition of power is complete (currently scheduled for October 26th). An additional proposal after the election will be required to update the bylaws in recognition of this shorter term length.

Proposed Election Process

There are four main phases to the election, each of which are described in detail below: nomination, election, confirmation, and transfer of power.

  1. Nomination Phase
    1. DAO Ops stewards post announcement to the forum providing a general description and schedule of the process as well as info about the following key concepts:
      1. Nominee Profile Template (provided in the next section)
        1. Personal information and answers to predefined questions required for consideration. Used by token holders to inform voting decisions.
      2. Nominee Confirmation Proposal
        1. Instructions for each nominee to create a proposal in dedicated snapshot space allowing token holders to confirm their participation in the subsequent council election
        2. These proposals must be created in a dedicated “RareDAO Council Nominations” snapshot space, to be created by the DAO Ops Stewards in tandem with the announcement post
      3. Nominee Confirmation Threshold
        1. The number of tokens that must vote on a nominee confirmation proposal in order for the nominee to be included in the election
      4. Nominee Confirmation Deadline
        1. The date and time at which nominee confirmation proposals must end in order to be considered valid.
        2. No additional nominees or additional votes for existing nominees will be considered after the deadline
    2. In order to self-nominate, community members must perform the following:
      1. Post a nominee profile, using the provided template, as a response to a dedicated forum post for nominee profiles.
        1. The DAO Ops stewards may remove nomination posts containing spam, artist promotion, and low-effort or off-topic content. Council members or the Foundation Director may choose to audit these moderation decisions and compel the stewards to reverse them if desired.
      2. Create a Nominee Confirmation Proposal in the dedicated “RareDAO Council Nominations” snapshot space, as described in the announcement
        1. Proposal must contain a link to and copy pasted content from the corresponding Nominee Profile
        2. Proposal end date must be set to the Nominee Confirmation Deadline
    3. When the Nomination Confirmation Deadline arrives, the DAO Ops stewards will build a list of all nominees whose proposals exceeded the nomination confirmation threshold, to be used during the election phase.
